Is a Mainland-to-Free-Zone Move a Direct Transfer?

Not necessarily. At Masdar City Free Zone, the available structures include an FZ-LLC, a foreign-company branch and a UAE-company branch. A general re-domiciliation process through which every mainland company automatically transfers its registration and retains all existing arrangements is not one of our published routes.

A mainland business will generally consider either a branch or a separate FZ-LLC. If the mainland entity is being closed, this is a separate process with its current licensing authority, so establish the new structure before starting the closure process. 

Route 1: Establish a Branch of the UAE Company

A company incorporated elsewhere in the UAE can apply to establish a branch in Masdar City Free Zone. Under our Regulatory Framework, a branch is a legally dependent part of its parent company rather than a separate incorporated entity.

This route may suit a business that wants to retain its mainland parent while establishing operations in Masdar City. The application may require constitutional documents, a board resolution, management details and a local representative. Registration and activities remain subject to approval. The company should also plan invoicing, employees, premises, banking and tax reporting.

Route 2: Form a Separate FZ-LLC

An FZ-LLC in Masdar City Free Zone is an independent legal entity with 100% foreign ownership. It may suit a new division, technology venture or regional operation.

Creating an FZ-LLC does not automatically move contracts, assets, intellectual property, employees, visas or bank accounts. Contracts may require assignment, novation or consent, while assets may need documented transfers. Banks conduct independent onboarding reviews.

If the mainland company will close, sequence the transition carefully to avoid gaps in licensing, staffing, customer service or payment collection.

Could a Dual License Be a Better Alternative?

Some businesses want a free-zone base while continuing approved activity outside it. What Should Be Reviewed Before Restructuring?

• Activities and approvals: Match each revenue stream to our business activity categories and license options. Specialized activities may require external approval.

• Contracts and assets: Identify the entity named in agreements and determine whether each can continue with a branch or must move to an FZ-LLC. Make sure to document intellectual-property and asset ownership.

• Employees and visas: Confirm the employing entity, required visas and the timing of cancellations and new applications.

No. A branch remains part of its UAE parent, so the parent company must continue to exist. If the owners instead establish an FZ-LLC and close the mainland company, the closure must be handled separately with the relevant authority. 

• Can a Masdar City Free Zone company serve UAE mainland customers?

The route depends on the licensed activities and applicable Abu Dhabi requirements. An eligible company may obtain a dual license, while another model may require a distributor, permit or different arrangement.

• Do employee visas and bank accounts move automatically?

No. Employee sponsorship and immigration arrangements need to be reviewed for the chosen structure. Banks also conduct their own onboarding checks and may require new or updated account arrangements.

• Does moving to a free zone guarantee 0% corporate tax?

No. UAE corporate tax treatment depends on the company’s status and income. The 0% rate is available only to a Qualifying Free Zone Person on Qualifying Income, subject to the UAE corporate tax rules.
